Chief Counsel, Securities & Corporate Finance
McKesson is seeking an experienced attorney to serve as our Chief Counsel, Securities & Corporate Finance, to provide counsel on a broad range of complex matters relating to securities and corporate laws, and to provide support to corporate finance functions including treasury, engaging with senior leadership across the organization.
The Chief Counsel, Securities & Corporate Finance, will report to the Managing Chief Counsel, Securities & Corporate and work closely with other members of the Corporate, Governance and Transactions team within McKesson’s General Counsel Organization.
Key Responsibilities:
Provide counsel and guidance regarding securities laws compliance and ’34 Act reporting, including periodic financial reports, earnings releases, and Form 8-K filings. Support disclosure controls and public company compliance processes, including NYSE listing standards. Collaborate in the preparation and review of current and periodic reports to be filed with the SEC.
Provide legal support for treasury, financing and capital markets transactions, in partnership with the Managing Lead Counsel, Bankruptcy & Credit.
Support insider trading compliance policies and processes, including trading clearances, trading plans, and share repurchases.
Monitor developments in SEC rules, legal policies and compliance relevant to corporate governance and reporting, including SEC Staff guidance, best practices and trend developments, and support internal education, policy development, implementation and compliance. Advise on general corporation law, including developments under DGCL and case law.
Minimum Requirements:
10+ years as a practicing attorney, 6+ years experience in public company securities laws and corporate finance matters. In-house experience preferred but not required.
Juris Doctor degree or equivalent.
Admitted to practice before a state bar, with active license in good standing.
Critical Skills:
Proficiency in advising senior management on strategies and legal risks.
Experience as a trusted counselor and partner in navigating complex and continually evolving business and legal landscapes.
Skilled in streamlined communications and clear, practical counseling to business teams and stakeholders.
Efficiency in working independently and/or collaboratively, with a record of developing strong working relationships across a diverse client base in a matrixed enterprise environment.
Additional Knowledge & Skills:
Possess excellent judgment with the ability to be both pragmatic/business-oriented and strategic and the communication skills to deliver relevant and actionable guidance.
Skilled at integrating data points to provide strategic and cost-effective guidance that marries business objective with legal requirements and equity-building strategies.

In addition to base pay, other compensation, such as an annual bonus or long-term incentive opportunities may be offered.
Our Base Pay Range for this position
$174,800 – $291,400
